TradeCheck Terms of Service

1. Acceptance

By creating an account, accessing, or using TradeCheck (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of a business or other entity, you confirm you have authority to bind that entity, and "you" refers to that entity.

2. Service scope

TradeCheck supports inspection, certification, and health and safety record workflows. The Service does not provide legal, engineering, or professional advice. You remain responsible for validating outputs, site conditions, and compliance decisions.

3. Accounts and security

  • You must provide accurate account information and keep it current.
  • You are responsible for account credentials and all activity under your account.
  • Tenant owners and admins can invite, assign roles, and remove users.

4. Customer data and content

"Customer Data" means information, documents, photos, and other content uploaded to or created in the Service.

  • You retain all rights in Customer Data.
  • You grant us a limited license to host, process, transmit, and display Customer Data only to operate, support, secure, and improve the Service.
  • You confirm you have authority and permissions to upload and use Customer Data, including personal information and identifying photos.

5. Privacy

Our Privacy Policy forms part of these Terms: see Privacy Policy.

6. Acceptable use

You must comply with our Acceptable Use Policy: see Acceptable Use Policy. We may suspend or terminate access for policy breaches.

7. Plans, billing, and payments

7.1 Subscriptions and renewals

Paid plans are billed in advance on a recurring basis unless stated otherwise and renew automatically until cancelled.

7.2 Usage limits

Plans may include limits on seats, storage, or features. You are responsible for keeping usage within your plan limits.

7.3 Payments

Payments may be processed by third-party providers, including Stripe, and are subject to those providers' terms.

7.4 Trials and promotions

Trials and promotions may be offered under the terms presented at sign-up and may be modified or withdrawn.

7.5 Cancellations

You can cancel in account settings or by contacting support. Unless required by law, cancellation takes effect at the end of the current billing period and fees are non-refundable.

7.6 Taxes

Fees exclude taxes unless explicitly stated otherwise. You are responsible for applicable taxes.

8. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted availability. We may change, suspend, or discontinue features. Where practical, we will provide reasonable notice of material changes.

9. Third-party services

The Service may integrate with third-party services. We are not responsible for third-party services or their availability.

10. Intellectual property

We own all intellectual property rights in the Service, excluding Customer Data. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

11. Confidentiality

Each party must protect the other party's confidential information and use it only to perform obligations under these Terms, except where disclosure is required by law.

12. Security incidents and privacy breaches

We maintain security controls described in Security Overview. If we become aware of a security incident affecting personal information, we will respond in line with our Privacy Policy and applicable law.

13. Suspension and termination

We may suspend or terminate access if:

  • you breach these Terms or the Acceptable Use Policy,
  • fees are overdue,
  • required by law, or
  • your use risks harm to the Service, other users, or third parties.

On termination, your right to use the Service ends. We will handle Customer Data in line with the Privacy Policy and any agreed Data Processing Addendum.

14. Warranties disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties not expressly stated in these Terms.

15. Liability cap

To the maximum extent permitted by law:

  • we are not liable for indirect, consequential, special, or exemplary losses (including loss of profits, goodwill, or data), and
  • our aggregate liability for claims connected to the Service is limited to the greater of:
  • fees paid by you for the Service in the 12 months before the claim event, or
  • NZD 1,000.

16. Indemnity

You will indemnify us against claims, losses, and expenses arising from:

  • your Customer Data, or
  • your breach of these Terms or the Acceptable Use Policy.

17. NZ consumer and trade contracting out

If you acquire the Service for business purposes and are "in trade", you agree the Consumer Guarantees Act 1993 does not apply to the extent legally permitted.

18. Changes to Terms

We may update these Terms. If changes are material, we will take reasonable steps to notify you. Continued use after the effective date of updated Terms means you accept the updated Terms.

19. Governing law

These Terms are governed by New Zealand law. The parties submit to the non-exclusive jurisdiction of New Zealand courts.
